Alitalia to increase company capital reserved for industrial partners, Air France-KLM

An extraordinary and ordinary General meeting was held by shareholders of Alitalia - Compagnia Aerea Italiana S.p.A., with the following deliberations: (i) to modify the company statute and (ii) to increase the company capital to the nominative amount of Euro 167,088,836.00, by issuing a special category of shares, with a surcharge of Euro 0.93 per share, therefore for a total amount of about EUR322 million, to be offered in subscription to the industrial partner, Air France-KLM, in accordance with the agreements stipulated.

 

The industrial partner will be entitled to nominate 3 members of the Board of Directors, which therefore goes up to 19 people, once the category B shares have been subscribed by Air France-KLM, as well as 2 members of the Executive Committee.
 
As part of ordinary administration, the General meeting also deliberated to confirm  the appointments of Achille D’Avanzo, Ernesto Monti, Maurizio Traglio as Company Directors, as well as the further nomination of Antonio Orsero, as well as Jean-Cyril Spinetta, Peter Hartman and Bruno Matheu, once the category B shares have been subscribed by Air France-KLM.
 
The Board of Directors will therefore be composed of the following members:

Roberto Colaninno (Chairman), Salvatore Mancuso (Vice-Chairman), Rocco Sabelli (Chief Executive Officer), Francesco Caltagirone Bellavista, Cosimo Carbonelli D’Angelo, Achille D’Avanzo, Corrado Fratini, Fausto Marchionni, Francesco Paolo Mattioli, Gaetano Miccich, Ernesto Monti, Antonio Orsero, Massimo Angelo Riva, Carlo Toto, Maurizio Traglio, Marco Tronchetti Provera, as Italian partners.
 
The Board members designated by Air France-KLM, who will take up their posts once the agreements are in force, are Jean-Cyril Spinetta, Peter Hartman and Bruno Matheu.
 
It was also decided to replace the auditor Salom with Antonino Parisi, and to appoint the firm Deloitte&Touche as Company auditor.
