ITALY : An extraordinary and ordinary General meeting was held by shareholders of Alitalia - Compagnia Aerea Italiana S.p.A., with the following deliberations: (i) to modify the company statute and (ii) to increase the company capital to the nominative amount of Euro 167,088,836.00, by issuing a special category of shares, with a surcharge of Euro 0.93 per share, therefore for a total amount of about EUR322 million, to be offered in subscription to the industrial partner, Air France-KLM, in accordance with the agreements stipulated.

ITALY : (XFN Asia) The Milan bourse said that Alitalia SpA shares, convertible bonds and the relative derivatives instruments are suspended from trading until further notice. Since the beginning of April, when talks for Air France-KLM to take over the Italian carrier failed, Alitalia shares have been trading in a single auction. The market regulator, Consob, previously said it would examine, along with the bourse, the possibility of suspending trading in Alitalia because of government plans to limit information disclosure. In a decree outlining the privatisation process for Alitalia, the government said it has identified a potential buyer for Alitalia, and that there will be no obligation to release information regarding the elaboration of the takeover offer.

With Air France-KLM having apparently concluded its negotiations successfully on 16-Mar-08, and the outgoing Italian government having approved it a day later, a number of factors have since arisen to stall the transaction. These include continuing objections by the trade unions, the re-emergence of Air One as a potential bidder, and the declaration by Italy’s opposition leader, Silvio Berlusconi, that he would block the deal in favour of a bid by an Italian consortium backed by, Intesa Sanpaulo SpA, bank if he were to be elected Prime Minister in the upcoming election.
