Turkish ESAS Holding AS adquiere 15.3% de Air Berlin


Air Berlin PLC has reached its goals for the past business year: Consolidation took place, turnover increased and fleet capacity utilization improved. Furthermore, the airline company announced that the Turkish ESAS Holding AS has acquired 15.3% of the company's shares.

GERMANY : Lufthansa has submitted (27-Feb-09) a public takeover offer to the shareholders of Austrian Airlines AG through OLH Osterreichische Luftverkehrs-Holding-GmbH and offered EUR4.49 per share. The acceptance period for the bid starts on 02-Mar-09 and ends on 11-May-09. The bid price corresponds to the average weighted market price of the Austrian Airlines share over the six months preceding the announcement of the planned takeover bid; the period dates from 03-Jun-08 up to and including 02-Dec-08. The takeover offer of EUR4.49 per share is about 69% above the share price on 02-Dec-08 and about 30% above the closing price of the share on 26-Feb-09.

POLAND : Piotr Chajderowski has been appointed new President of the Management Board of Nowy Przewoźnik - Centralwings airline. His primary task will be to ensure integration of Centralwings with the organisational structure of LOT Airlines and at a later stage, to take over management of assets of LOT Capital Group.

The Civil Aviation Authority (CAA) released (18-Feb-09) more detail in its regulatory approach for setting the price control for NATS (En Route) plc (NERL) for 2011-2016. NERL is the monopoly provider of air traffic control services in the UK and is subject to price regulation by the CAA to benefit passengers and other users of its services.

Further to the announcement on 18-Dec-08, the agreement to sell SAS Group's 47.2% holding in airBaltic to the management of airBaltic, the transaction has been completed and payment in respect of the shares has been received in accordance with the announced terms.

ITALY : An extraordinary and ordinary General meeting was held by shareholders of Alitalia - Compagnia Aerea Italiana S.p.A., with the following deliberations: (i) to modify the company statute and (ii) to increase the company capital to the nominative amount of Euro 167,088,836.00, by issuing a special category of shares, with a surcharge of Euro 0.93 per share, therefore for a total amount of about EUR322 million, to be offered in subscription to the industrial partner, Air France-KLM, in accordance with the agreements stipulated.
